A practical comparison · 2 November 2026
US LLC or Hong Kong company?
Two possible company structures, with different administration and tax questions. Start with the business, then compare the whole arrangement.
| The decision | United States | Hong Kong |
|---|---|---|
| Commercial purpose | Explain why a US entity serves your contracts, customers or operations. Confirm the intended bank or payment provider can support the actual business. | Explain the role Hong Kong would play in customers, suppliers or operations. Banking and administration need to fit that activity. |
| Structure & administration | An LLC is a state-law entity. Choose the state, registered agent, ownership and operating arrangements with the appointed provider. | A private company needs local administrative arrangements, including the required company secretary and registered office. A director need not live in Hong Kong. |
| Tax questions | Federal classification depends on membership and elections. A disregarded entity is not a universal tax exemption. Review US and owner-country obligations together. | Review the source of profits and any applicable foreign-sourced income rules. An overseas owner or foreign customers do not establish an offshore tax result. |
| Ongoing work | State requirements and federal reporting need their own calendar. Foreign-owned disregarded entities may have Form 5472 and pro forma Form 1120 obligations. | Company-secretary work, annual returns, business-registration renewal and the applicable accounting, audit and tax work need named owners. |
| Banking | An EIN or incorporation certificate does not guarantee an account. Check residence, activity, ownership and documentation requirements with the institution. | Prepare the business story and evidence for the chosen institution. Existing introductions can help start the conversation; acceptance remains with the bank. |
| Commonwealth X scope | Initial planning and specialist brief. The US formation provider must be confirmed before implementation. | Company enquiries through the existing Vistra route, plus relevant banking contacts. Local scope and provider terms are agreed for your case. |
The useful comparison is the full first year: suitability, banking, professional advice and recurring administration. A lower formation fee can answer the wrong question.
Bring these questions to the conversation.
- Where do you and the people doing the work actually live?
- Which customers, contracts or payment requirements favour either structure?
- Who will maintain the records and prepare each filing?
- What is the complete first-year cost, and what recurs?
