The practical guide

Start with the business you actually run.

Worth considering for a business whose customers, suppliers, contracts or operations make Hong Kong useful. A director need not be a Hong Kong resident, but the company still needs the required local administration and a workable banking plan.

Incorporation is not a finding that your profits are offshore. Hong Kong tax depends on the facts and relevant rules, including the foreign-sourced income regime where applicable. Your own country of residence and the place you manage or perform the work also belong in the tax brief.

What to prepare.

A planning checklist, not a request to upload documents here. The appointed provider confirms the exact documents and secure channel.

  • Proposed company name, business activity, ownership and share arrangements.
  • Director, shareholder and beneficial-owner information requested by the formation provider through its due-diligence process.
  • Articles of association and incorporation particulars; confirm the registered office and company-secretary arrangement.
  • For banking: explain customers, suppliers, expected currencies and flows, supported by the evidence requested by the institution.

Put the steps in the right order.

  1. Check commercial fit and the connected tax questions before choosing a provider package.
  2. Confirm the company secretary and registered office. A private company needs at least one natural-person director; a sole director cannot also be its company secretary.
  3. Complete the incorporation and business-registration submissions through the appointed provider.
  4. Prepare banking and payments separately. Confirm who maintains accounts and handles statutory and tax work.
  5. Collect the records and agree the annual calendar and provider handover.

The year after setup matters too.

  • For an ordinary local private company, the annual return is normally due within 42 days after the incorporation anniversary; confirm any applicable exception with the company secretary.
  • Business-registration renewal, accounting and the applicable audit and tax-return work with qualified providers.
  • Maintain company particulars and ownership records, and notify the company secretary about changes.
  • Retain evidence supporting the business and tax position; revisit it when activities or management locations change.

Questions before you commit.

Do I need to live in Hong Kong to be a director?

The Companies Registry does not require a director to be a Hong Kong resident. Local company-secretary and registered-office requirements still apply. This does not establish your right to live or work in Hong Kong.

Can the business be treated as offshore for tax?

That needs a fact-specific assessment. The source of profits and any applicable foreign-sourced income rules must be reviewed by a qualified adviser. Foreign customers or an overseas owner alone do not settle the question.

Can you help after incorporation?

Yes. We can coordinate the local provider, banking preparation and administrative handovers within the agreed scope. The company secretary, accountant and other specialists retain their own responsibilities.

01

A company needs local administration

Hong Kong permits non-residents to incorporate a local limited company. Decide who will handle the local requirements and ongoing filings before you set it up.

02

Explain the commercial connection

Prepare a clear account of the business, counterparties and expected transactions for a banking conversation. Personal and corporate banking needs may require different teams.

03

Review the whole tax picture

A Hong Kong company does not settle where its owner owes tax. Have qualified advisers consider where you live, where decisions are made and where the work happens.
